Terms of Service

These terms govern your use of Apex Links, a platform operated by Evolve Media Global LTD. By creating a store, or by buying a voucher through a store hosted on Apex Links, you agree to them.
1. Who we are, and what this platform does
Apex Links is operated by Evolve Media Global LTD ("we", "us"). We provide software that lets a business (a "Merchant") publish a storefront and sell data vouchers to its own customers ("Customers").
We are a technology provider. We are not a mobile network operator, an internet service provider, a reseller of data, or a payment processor. We do not issue vouchers and we do not sell data.
2. Definitions
- Platform — the Apex Links website, storefronts and dashboards.
- Merchant — a business that registers an account and publishes a store.
- Store — a Merchant's public page, reachable at a link chosen by that Merchant.
- Customer — a person who buys a voucher from a Store.
- Voucher — a code supplied by a Merchant that a Customer redeems on that Merchant's network.
3. Merchant accounts
- You must be at least 18 and legally able to enter into contracts, and must operate a genuine business.
- You must give accurate registration details and keep them current.
- You are responsible for everything done through your account. Keep your password confidential and tell us promptly if you believe it has been compromised.
- One store link belongs to one account. Links that impersonate another business, or that are chosen to mislead, may be reclaimed.
4. Our role in a sale — and what it is not
When a Customer buys from a Store, the contract for that voucher is between the Customer and the Merchant. We are not a party to it.
Payments are taken through the Merchant's own Paystack account, using credentials the Merchant supplies. Funds move directly from the Customer to that Merchant's account and settle on Paystack's schedule. We never receive, hold, control or disburse those funds, and we do not currently deduct any commission.
Paystack's own terms govern the payment itself. A Merchant is responsible for maintaining a Paystack account in good standing; if those credentials are removed, revoked or become invalid, that Store will stop being able to take payments.
5. Merchant obligations
- Supply valid, unused voucher codes, and honour every voucher sold through your Store on your network.
- Describe your plans accurately, including data volume, duration and price.
- Handle your own customer support, complaints, disputes, chargebacks and refunds. Because funds settle to your Paystack account, any refund must be issued by you.
- Keep enough codes in stock for the plans you leave published. If a plan runs out, it stops being offered until you restock.
- Comply with all applicable law, including any licensing or regulatory requirements for reselling connectivity, and account for your own taxes.
6. Customer purchases
A Customer must provide a valid email address, which is used to deliver the voucher and as proof of purchase. On successful payment the voucher is shown on screen and emailed.
Because a voucher is delivered immediately and can be redeemed at once, it is not returnable once issued, except where the Merchant agrees otherwise or the law requires it. Questions about a voucher that does not work should be directed to the Merchant that sold it.
If a payment succeeds but no voucher is available, no code is issued and the Merchant is responsible for supplying one or refunding the Customer.
7. Fees
Creating a Store is currently free and we take no percentage of Merchant sales. If we introduce fees, we will give notice before they apply to you, and you may close your account rather than accept them. Paystack's own transaction charges are separate and are deducted by Paystack.
8. Acceptable use
You may not use the Platform to:
- Sell anything other than the connectivity vouchers the Platform is intended for.
- Sell codes you are not entitled to sell, or codes that have already been used.
- Impersonate another business, or misrepresent who is behind a Store.
- Defraud Customers, launder money, or process payments on behalf of an undisclosed third party.
- Probe, overload, disrupt or attempt to gain unauthorised access to the Platform or another Merchant's data.
- Upload unlawful content, or use the Platform in a way that breaches any applicable law.
9. Suspension and termination
You may stop using the Platform at any time. We may suspend or close an account that breaches these terms, that we reasonably believe is being used fraudulently, or where we are required to do so by law or by a payment provider.
Where it is reasonable and lawful to do so, we will give notice first. Suspension does not release a Merchant from obligations to Customers who have already paid.
10. Availability
We work to keep the Platform available, but we do not promise uninterrupted or error-free service. Access can be affected by maintenance, by faults, and by third parties we rely on, including payment, hosting and email providers.
11. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud, or for death or personal injury caused by negligence.
Subject to that, we are not liable for loss of profit, loss of business, loss of goodwill, or indirect or consequential loss. We are not liable for the quality, validity or performance of any voucher, or for the conduct of any Merchant or Customer.
Where we are found liable, our total liability to a Merchant in any twelve-month period is limited to the fees that Merchant paid us in that period, and where no fees were paid, to ₦50,000.
12. Indemnity
A Merchant agrees to indemnify us against claims, losses and reasonable costs arising from that Merchant's sales, its vouchers, its conduct toward its Customers, or its breach of these terms.
13. Changes to these terms
We may update these terms. Where a change materially affects your rights we will give reasonable notice. Continuing to use the Platform after a change takes effect means you accept the updated terms.
14. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction over any dispute arising from them.
